Terms and Conditions
Last Updated: October 20, 2026
These Terms and Conditions (the "Terms") govern your access to and use of the Duova website, platform, accounts, digital asset functionality and other products and services available through duova.io (collectively, the "Services").
The Services are operated by Pay Verse HK Limited, a company incorporated in Hong Kong ("Duova," "we," "us," or "our").
By creating a Duova account or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. About Duova
Duova is a financial technology platform that enables eligible users to access digital asset functionality and other financial products and services.
Certain Services may be provided wholly or partly by independent third-party financial institutions, digital asset custodians, payment institutions, card issuers, conversion providers or other regulated or licensed service providers ("Service Providers").
Unless expressly stated otherwise, Pay Verse HK Limited is not a bank, card issuer, digital asset custodian or digital asset exchange.
Specific Duova products may be subject to additional product terms, fee schedules or risk disclosures ("Product-Specific Terms"). Where Product-Specific Terms conflict with these Terms, the Product-Specific Terms will apply to that particular product.
2. Eligibility and Restricted Jurisdictions
You must be at least 18 years old, legally capable of entering into a binding agreement, and meet all applicable identity verification and compliance requirements to use Duova.
The Services are not available to persons located in, resident in, or ordinarily resident in:
- Mainland China;
- the United States of America; or
- jurisdictions subject to applicable comprehensive sanctions, embargoes or other legal or regulatory restrictions.
Duova may restrict additional jurisdictions where required by law, regulation, compliance requirements or Service Provider policies.
You must not use VPNs, false identity information or other methods to circumvent geographic or eligibility restrictions.
3. Account Registration and Verification
You must provide accurate, complete and current information when creating and maintaining your Duova account.
Duova and its Service Providers may conduct identity verification, Know Your Customer ("KYC") checks, Anti-Money Laundering ("AML") screening, sanctions screening, fraud checks, blockchain transaction monitoring, source-of-funds verification and other compliance checks.
You agree to provide information or documents reasonably requested for these purposes.
We may delay, reject, restrict, freeze or suspend an account or transaction where required for legal, compliance, security or risk management purposes, with or without prior notice where reasonably necessary and permitted by applicable law.
4. Duova Account and Services
Your Duova account provides access to the Services available to you.
Depending on availability and eligibility, your account may include:
- a digital asset wallet;
- payment-related products;
- product-specific accounts;
- rewards;
- savings or yield-related products; and
- other products introduced from time to time.
Duova may display balances from different products through a consolidated account view. A consolidated balance does not necessarily mean that all underlying assets are held in the same account or by the same Service Provider.
5. Digital Asset Wallet
Duova may provide Wallet functionality that allows you to deposit, withdraw and transfer supported digital assets.
The initial supported asset may include USDT. Supported blockchain networks will be displayed within the Duova platform.
You are solely responsible for verifying the correct:
- digital asset;
- blockchain network;
- token contract;
- destination address; and
- memo, tag or other required information.
Transactions sent through an unsupported network, using an unsupported asset, or to an incorrect address may result in permanent loss of the relevant assets.
Recovery of incorrectly transferred assets may not be possible and is not guaranteed. Where recovery is technically available, Duova and/or the applicable Service Provider may charge a reasonable recovery fee.
6. Deposits, Withdrawals and Transfers
Deposits will generally be credited after the relevant blockchain confirmations, compliance checks and successful recording in the Duova ledger.
Withdrawals may be subject to:
- available balance;
- transaction limits;
- security verification;
- compliance review;
- blockchain network fees; and
- other applicable fees.
Once a blockchain transaction has been broadcast, it generally cannot be cancelled or reversed.
Duova may also allow transfers between your Wallet and eligible Duova products. Funds may be temporarily frozen while a transaction is being processed.
A transaction shown as pending or processing does not necessarily mean that it has failed.
7. Custody and Third-Party Service Providers
Digital assets and certain financial services accessible through Duova may be held, processed or provided by Service Providers.
Unless expressly disclosed otherwise, Pay Verse HK Limited does not independently take custody of user digital assets.
Service Providers may provide services including:
- digital asset custody;
- blockchain deposits and withdrawals;
- digital asset conversion;
- payment processing;
- regulated financial products; and
- other supporting services.
Your use of certain Services may therefore also be subject to the terms, eligibility requirements and compliance controls of the relevant Service Provider.
8. Fees and Limits
Duova and/or Service Providers may charge fees for certain Services.
Fees may include:
- product activation fees;
- deposit or withdrawal fees;
- blockchain network fees;
- transfer fees;
- transaction fees;
- conversion or foreign exchange fees; and
- other product-specific fees.
Applicable fees will be disclosed in the relevant interface, fee schedule or Product-Specific Terms.
Transaction and account limits may apply and may vary depending on your jurisdiction, verification status, account activity, product and Service Provider requirements.
Duova and/or the applicable Service Provider may modify fees or limits from time to time, subject to applicable law and any notice requirements.
9. Prohibited Use
You must not use Duova for unlawful, fraudulent or abusive activities.
This includes, without limitation:
- money laundering or terrorist financing;
- sanctions evasion;
- fraud or use of stolen funds;
- unauthorized use of another person's account;
- providing false or misleading information;
- circumventing geographic, transaction or compliance restrictions;
- transactions involving prohibited goods or services;
- exploiting platform errors or vulnerabilities;
- using automated means to abuse the Services; or
- interfering with Duova or Service Provider systems.
Duova may investigate, restrict, freeze, suspend or terminate activity reasonably suspected of violating these Terms or applicable law.
10. Account Security, Suspension and Closure
You are responsible for protecting your password, authentication credentials, registered email account and devices used to access Duova.
You must notify us promptly if you suspect unauthorized access or compromise of your account.
Duova may restrict, freeze, suspend or terminate your account, in whole or in part, where reasonably necessary for:
- security;
- fraud prevention;
- compliance;
- sanctions screening;
- legal or regulatory requirements;
- breach of these Terms; or
- Service Provider requirements,
with or without prior notice where reasonably necessary and to the extent permitted by applicable law.
You may request account closure, subject to completion of pending transactions, withdrawal of eligible assets, settlement of outstanding obligations and applicable legal or compliance requirements.
If assets cannot be withdrawn due to legal, compliance or Service Provider restrictions, such assets will be handled in accordance with applicable law and the relevant Service Provider's terms and procedures.
11. Digital Asset Risks
Digital assets and blockchain transactions involve risks, including:
- price volatility;
- stablecoin de-pegging;
- blockchain congestion, forks or failure;
- transaction delays;
- smart contract vulnerabilities;
- liquidity and counterparty risk;
- cybersecurity incidents; and
- regulatory changes.
Although stablecoins such as USDT may seek to maintain a value relative to fiat currency, Duova does not guarantee that any digital asset will maintain a particular value or redemption rate.
Any conversion between digital assets and fiat currency, or the use of digital assets in connection with a financial product, may be subject to applicable exchange rates, fees, limits and availability as disclosed in the relevant product interface or Product-Specific Terms and, where applicable, determined by the relevant Service Provider.
Blockchain transactions may be irreversible.
You should understand these risks before using the Services.
Duova does not provide investment, legal, tax or financial advice unless expressly stated otherwise.
12. Account Records and Corrections
Duova maintains account and transaction records through its platform ledger and may reconcile those records against information provided by Service Providers.
You should review your account activity regularly and promptly notify Duova if you believe a transaction or balance is incorrect.
If Duova identifies an incorrect, duplicated or missing transaction, balance, fee or other record, we may make reasonable corrections based on the underlying transaction records.
Such corrections may include reversals, releases of incorrect holds, missing entries or other ledger adjustments.
13. Privacy and Electronic Communications
Your use of Duova is subject to the Duova Privacy Policy available through duova.io.
We may share information with Service Providers where necessary to provide the Services, verify identity, process transactions, prevent fraud, manage risk or comply with applicable law.
You agree to receive notices, disclosures, transaction information, security alerts and other communications electronically through email, the Duova platform or other electronic channels.
You are responsible for keeping your contact information accurate and up to date.
14. Intellectual Property
All rights, title and interest in the Services, including the Duova website, platform, software, trademarks, logos and content, are owned by Duova or its licensors.
Subject to these Terms, Duova grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes.
You must not copy, modify, reverse engineer, scrape, or create derivative works from the Services, except as expressly permitted by law.
15. Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Duova does not guarantee uninterrupted availability, specific transaction processing times, continued availability of any product, or the value of any digital asset.
To the maximum extent permitted by applicable law, Pay Verse HK Limited will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities arising out of or relating to your use of the Services.
Duova is not responsible for losses caused solely by circumstances outside its reasonable control, including without limitation:
- public blockchain failures, congestion, forks or delays;
- Service Provider outages or operational failures;
- incorrect information, addresses, networks or assets provided by users;
- compromised user credentials or devices;
- market movements or digital asset price changes;
- regulatory or governmental actions; or
- other force majeure events.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, fraudulent misrepresentation or wilful misconduct.
Additional liability provisions may apply to specific products under the applicable Product-Specific Terms.
16. Changes to the Services and Terms
Duova may modify, add, replace, suspend or discontinue Services or features from time to time.
Duova may also update these Terms.
Updated Terms will be published on duova.io with a revised "Last Updated" date. Where required by applicable law, we will provide notice of material changes.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If you do not agree to the updated Terms, you should stop using the affected Services and may request closure of your account.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Hong Kong.
If a dispute arises out of or in connection with these Terms or the Services, you and Duova should first attempt to resolve the dispute through good-faith discussions.
Where permitted by applicable law, the parties may agree to refer the dispute to arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") under the HKIAC Administered Arbitration Rules in force when the arbitration is commenced.
Where arbitration applies:
- the law governing the arbitration agreement shall be the laws of Hong Kong;
- the seat of arbitration shall be Hong Kong;
- the tribunal shall consist of one arbitrator; and
- the language of arbitration shall be English.
Nothing in this Section limits any mandatory rights or remedies available to consumers under applicable law or prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where permitted by law.
18. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any applicable Product-Specific Terms, fee schedules or risk disclosures expressly incorporated by reference, constitute the entire agreement between you and Duova regarding the Services and supersede all prior agreements and understandings relating to the same subject matter.
Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.
Language. These Terms are prepared in English. If any translated version is provided, the English version shall prevail in the event of any conflict or inconsistency, to the extent permitted by applicable law.
No Waiver. Duova's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
